Course Seller Terms

Last updated: September 21, 2026

These terms apply when you sell courses on Vayvio, together with the Terms of Service and Acceptable Use Policy. Bracketed items are pending final legal or business confirmation.

1. Scope

"Selling" means offering courses for purchase (free or paid) on Vayvio after your seller application is approved. Buyers purchase from the platform; Vayvio collects the payment, keeps a platform fee, and pays you the remainder as described here. Course seller earnings are a course-commerce mechanism — Vayvio is not a wallet, bank, escrow, or deposit service, and seller balances are not bank accounts.

2. Seller Eligibility

To apply you need an active account with a verified email. To receive payouts you must complete identity verification — because money is paid out, this is not optional. We may decline, suspend, or revoke seller status with reason. Approval as a Course Seller means you may sell courses on the platform; it is not a professional qualification or accreditation of you or your teaching.

3. Course Submission and Approval

Every course is submitted to Vayvio review before it can be published; sellers cannot self-publish. Review checks compliance with our content standards at that time. We may request changes, reject, suspend, or remove courses. Material changes to a published course (title, category, price, or major curriculum replacement) require re-review. Courses must include at least one non-preview lesson, and you must confirm you own or have permission to use all submitted content.

4. Your Course Content

You own your course content. You grant Vayvio the limited license in the Terms to host and deliver it to enrolled buyers, and you grant buyers personal-learning access through the platform. You are responsible for your course being accurate, lawful, non-infringing, and safe, for keeping it maintained, and for the accuracy of your listing and payout details. Your obligations to buyers are yours; Vayvio review does not make Vayvio the author or guarantor of your course.

5. Pricing

You set your course price within the platform's allowed range and supported currencies. You may change the price of a course; changes take effect for future buyers, and past buyers keep their access — existing orders always retain their original price.

6. Platform Fee and Earnings

From each paid sale, Vayvio keeps a platform fee (commission) and you earn the remainder. The current fee percentage is published in your seller dashboard and may change over time; each sale permanently records the fee that applied to it, so fee changes never rewrite past earnings. Earnings from a sale are first "pending" during a hold period (shown in your dashboard) to allow for refunds and disputes, then become available for payout.

7. Payouts

You may request a payout of your available earnings once they reach the minimum payout amount shown in your dashboard. Payouts are currently processed manually: we send the amount to the GCash or bank details you provide (stored encrypted, visible only to authorized finance staff) and record the payment reference. You are responsible for the accuracy of your payout details; Vayvio does not verify that you own the destination account unless a verification process is later introduced. We do not promise an exact processing time — [TARGET PROCESSING TIMELINE: BUSINESS DECISION REQUIRED]. You cannot withdraw pending (on-hold) earnings. Payout requests may be held or rejected for open moderation cases or risk review, with notice where practical. [Seller tax documentation/reporting obligations: COUNSEL/ACCOUNTING REVIEW REQUIRED.]

8. Refunds, Reversals, and Disputes

If an order is refunded, the sale's earning is reversed — a refunded sale never pays out. If a refund occurs after a payout has already been made, the reversal is recorded against your ledger and may offset future earnings. Chargebacks and payment disputes place the related earnings on hold until resolved. See the Course Refund Policy for when buyers can receive refunds.

9. Moderation and Takedown

Courses and course content can be reported by anyone. We may warn you, request changes, unpublish, suspend, or remove a course, and suspend or revoke seller status for serious or repeated violations, with appeal available. Takedown stops new sales immediately; legitimate buyers generally keep access unless the content requires revocation (for example, dangerous or infringing material). Course removal does not by itself revoke issued completion certificates; credentials are revoked only when the course's validity is fundamentally affected (for example, fraud), with reason recorded.

10. Suspension and Termination of Seller Status

You may stop selling at any time (your courses can be unpublished; buyer access continues per policy). If your seller status is suspended or revoked, you cannot publish new content, but your earnings history and payout rights for properly earned, non-reversed sales survive, subject to holds for open matters.
